These Terms and Conditions ("Terms") govern your use of the website ostlii.com and any services provided by Ostlii LLC ("Ostlii," "we," "us," or "our"), operating as Ostlii Agency. By accessing this website or engaging our services, you agree to these Terms. If you do not agree, do not use this website or engage our services.

1. Nature of Services

Ostlii Agency provides AI advisory, brokerage, and implementation services for businesses. Our services include technology assessments, tool recommendations, vendor selection assistance, implementation planning, and ongoing advisory support. All services are advisory in nature. We provide professional analysis and recommendations based on our experience and evaluation of available information at the time of engagement.

We do not guarantee specific business outcomes, revenue increases, cost savings, productivity gains, or return on investment. The effectiveness of any AI solution depends on numerous factors outside our control, including but not limited to your team's adoption, your existing systems, market conditions, vendor product changes, and implementation variables.

2. Compensation and Commission Disclosure

Ostlii Agency operates as an AI brokerage. Our compensation may include direct service fees paid by you and/or referral commissions, affiliate fees, or partner incentives paid to us by third-party tool vendors and platforms we recommend.

We disclose this relationship openly as part of our business model. While we earn commissions from vendors, our recommendations are based on our professional assessment of fit for your needs. We are not obligated to recommend any particular vendor, and not all tools we recommend carry commissions. You are never obligated to adopt any recommendation we make.

3. Third-Party Tools and Vendors

When we recommend or help implement third-party tools, platforms, or services, those products are provided by their respective vendors and governed by their own terms of service, privacy policies, and licensing agreements. Ostlii does not control, warrant, or guarantee the performance, availability, security, pricing, or continued operation of any third-party product.

Ostlii is not a party to any agreement between you and a third-party vendor. We are not liable for any damages, losses, data breaches, service interruptions, price changes, feature removals, or other issues arising from your use of third-party products, whether or not we recommended them.

4. No Professional Advice Disclaimer

Our services constitute technology advisory services only. Nothing provided by Ostlii constitutes legal, financial, accounting, tax, insurance, or investment advice. For matters in those domains, consult a licensed professional in the relevant field. While our team has professional background in risk management and business operations, our engagement with you is limited to AI and technology advisory services unless explicitly stated otherwise in a written agreement.

5. Engagement Terms

Specific engagement terms, including scope of work, deliverables, timelines, fees, and payment terms, will be outlined in a separate written proposal or statement of work for each engagement. In the event of any conflict between these Terms and a signed statement of work, the statement of work governs for that engagement.

Either party may terminate an engagement in accordance with the terms of the applicable statement of work. If no termination terms are specified, either party may terminate with 14 days written notice. Fees for work completed through the termination date remain payable.

6. Intellectual Property

All content on this website, including text, design, graphics, and code, is owned by Ostlii LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our written permission.

Deliverables created specifically for you during a paid engagement become your property upon full payment, unless otherwise specified in the statement of work. General methodologies, frameworks, and tools developed by Ostlii remain our intellectual property.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Ostlii LLC, its owner, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our website or services, regardless of the theory of liability.

Our total aggregate liability for any claims arising from or related to our services shall not exceed the total fees you have actually paid to Ostlii for the specific engagement giving rise to the claim during the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

This website and our services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our recommendations will achieve any particular result, that any third-party tool will perform as described by its vendor, or that our services will be uninterrupted or error-free.

9. Indemnification

You agree to indemnify and hold harmless Ostlii LLC, its owner, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our services, your violation of these Terms, or your use of any third-party products or services.

10. Confidentiality

We treat information shared with us during engagements as confidential and will not disclose it to third parties without your consent, except as required by law or as necessary to deliver our services (for example, discussing your requirements with a vendor you've agreed to evaluate). If you require specific confidentiality protections, we are happy to execute a mutual non-disclosure agreement.

11. Website Use

You may use this website for lawful purposes only. You may not attempt to gain unauthorized access to any part of the site, interfere with its operation, or use it to transmit harmful code. We reserve the right to restrict access at our sole discretion.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Missouri. Before initiating formal proceedings, both parties agree to attempt good-faith resolution through direct communication for a period of at least 30 days.

13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. For active engagements, material changes will be communicated directly. Continued use of the site or services after changes constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
